Product is Free of Heavy Metals
All Lawrence Industries, Inc. products are warranted against defects in materials and workmanship for the life of the product.*
Lawrence warrants that its Product is Free of Heavy Metals Including Zinc, Lead, Aluminum, and Arsenic in amounts that would make them Insignificant for Harm to Adults and or Children Under 12 years of age.
*Industry related testing has defined the typical lifetime of fenestration hardware to be 10 years.
Persons Covered
Lawrence Industries, Inc. warranty is expressly limited to window & door manufacturers and Distributors, who purchase Lawrence products for the purpose of resale, or use in the ordinary course of the buyers business, and may not be assigned or transferred. This warranty does not cover normal wear or Plated Finishes, or any product which has been improperly installed, abused, misused, worn out, altered, used for a purpose other than that for which it was intended, or in a manner inconsistent with any instructions regarding its use. This warranty does not cover corrosion damage nor does it cover corrosion related damage.
Exclusivity
THIS WARRANTY IS EXCLUSIVE. LAWRENCE INDUSTRIES, INC. MAKES NO OTHER WARRANTY OF ANY KIND WHATSOEVER, EXPRESSED OR IMPLIED, WITH RESPECT TO THE PRODUCTS MANUFACTURED AND SOLD BY IT, WHETHER AS TO MERCHANT ABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR ANY OTHER MATTER.
Agent Authority
No agent, employee or representative of Lawrence Industries, Inc. has any authority to bind Lawrence Industries, Inc. to any affirmation, representation, or warranty concerning Lawrence Industries, Inc. products or parts, except stated herein.
Remedy for Defects - Repair or Replace
If any product manufactured by Lawrence Industries, Inc. is found to be defective by Lawrence Industries, Inc. upon Lawrence’s own inspection, and in its sole judgment, Lawrence Industries, Inc. will, at its option, either repair or replace such defective product. Lawrence Industries, Inc.’s liability is limited only to the replacement value of the hardware.
THIS REMEDY SHALL BE THE EXCLUSIVE REMEDY AVAILABLE FOR ANY DEFECTS IN THE PRODUCTS MANUFACTURED AND SOLD BY LAWRENCE INDUSTRIES, INC. OR FOR DAMAGES RESULTING FROM ANY OTHER CAUSE WHATSOEVER, INCLUDING WITHOUT LIMITATION, LAWRENCE INDUSTRIES, INC.’s NEGLIGENCE. LAWRENCE INDUSTRIES, INC. SHALL NOT IN ANY EVENT BE LIABLE TO ANY BUYER FOR CONSEQUENTIAL, OR INCIDENTAL, OR PUNITIVE DAMAGES OF ANY KIND, OR FOR THE LABOR WHICH MAY BE REQUIRED FOR THE REPLACEMENT OF SAID PRODUCT, WHETHER FOR BREACH OF WARRANTY, NEGLIGENCE, ON THE BASIS OF STRICT LIABILITY, OR FOR ANY OTHER REASON.
Purpose of Remedy
The purpose of this exclusive remedy shall be to provide the window/door manufacturer, or the Lawrence Industries, Inc. Authorized Distributor, with replacement of products, or parts, manufactured by Lawrence Industries, Inc. found to be defective in materials or workmanship, or negligently manufactured. This exclusive remedy shall not be deemed to have failed of its essential purpose so long as Lawrence Industries, Inc. is willing and able to repair or replace said defective products or parts in the prescribed manner.
Arbitration and Conflicts of Law
Any controversy or claim arising under or in relation to this contract, or any modification of it, shall be settled by arbitration on an individual basis. The arbitration shall be held in Thomasville, NC or within 100 miles, in accordance with the laws of North Carolina and the rules of North Carolina’s Uniform Arbitration Act N.C. Gen. Stat. § 1-569.1 et seq..The parties consent to the jurisdiction of the courts of North Carolina and to the service of process, notices of motion or other applications outside North Carolina by registered mail or by personal service, provided a reasonable time for appearance is allowed.
This warranty shall be deemed to be made in North Carolina and shall be governed by and construed in accordance with North Carolina law applicable to contracts made and performed in North Carolina without regard to conflicts of laws principles.
Severability
If a provision of this Warranty is or becomes illegal, invalid, or unenforceable in any jurisdiction, that shall not affect: the validity or enforceability in that jurisdiction of any other provision of this Warranty; or the validity or enforceability in other jurisdictions of that or any other provision of this Warranty.
